(a) Kayte operates in the shipping industry and owns vessels for transportation. In June 2014, Kayte acquired Ceemone whose assets were entirely investments in small companies. The small companies each owned and operated one or two shipping vessels. There were no employees in Ceemone or the small companies. At the acquisition date, there were only limited activities related to managing the small companies as most activities were outsourced. All the personnel in Ceemone were employed by a separate management company. The companies owning the vessels had an agreement with the management company concerning assistance with chartering, purchase and sale of vessels and any technical management. The management company used a shipbroker to assist with some of these tasks.

Kayte accounted for the investment in Ceemone as an asset acquisition. The consideration paid and related transaction costs were recognised as the acquisition price of the vessels. Kayte argued that the vessels were only passive investments and that Ceemone did not own a business consisting of processes, since all activities regarding commercial and technical management were outsourced to the management company. As a result, the acquisition was accounted for as if the vessels were acquired on a stand-alone basis.

Additionally, Kayte had borrowed heavily to purchase some vessels and was struggling to meet its debt obligations. Kayte had sold some of these vessels but in some cases, the bank did not wish Kayte to sell the vessel. In these cases, the vessel was transferred to a new entity, in which the bank retained a variable interest based upon the level of the indebtedness. Kayte’s directors felt that the entity was a subsidiary of the bank and are uncertain as to whether they have complied with the requirements of IFRS 3 Business Combinations and IFRS 10 Consolidated Financial Statements as regards the above transactions. (12 marks)

(b) Kayte’s vessels constitute a material part of its total assets. The economic life of the vessels is estimated to be 30 years, but the useful life of some of the vessels is only 10 years because Kayte’s policy is to sell these vessels when they are 10 years old. Kayte estimated the residual value of these vessels at sale to be half of acquisition cost and this value was assumed to be constant during their useful life. Kayte argued that the estimates of residual value used were conservative in view of an immature market with a high degree of uncertainty and presented documentation which indicated some vessels were being sold for a price considerably above carrying value. Broker valuations of the residual value were considerably higher than those used by Kayte. Kayte argued against broker valuations on the grounds that it would result in greater volatility in reporting.

Kayte keeps some of the vessels for the whole 30 years and these vessels are required to undergo an engine overhaul in dry dock every 10 years to restore their service potential, hence the reason why some of the vessels are sold. The residual value of the vessels kept for 30 years is based upon the steel value of the vessel at the end of its economic life. At the time of purchase, the service potential which will be required to be restored by the engine overhaul is measured based on the cost as if it had been performed at the time of the purchase of the vessel. In the current period, one of the vessels had to have its engine totally replaced after only eight years. Normally, engines last for the 30-year economic life if overhauled every 10 years. Additionally, one type of vessel was having its funnels replaced after 15 years but the funnels had not been depreciated separately. (11 marks)

Lily is finalising the arrangements for the year-end inventory count, which is to be undertaken on 31 December 2012. The finished windows are stored within 20 aisles of the first warehouse. The second warehouse is for large piles of raw materials, such as sand, used in the manufacture of glass. The following arrangements have been made for the inventory count:

The warehouse manager will supervise the count as he is most familiar with the inventory. There will be ten teams of counters and each team will contain two members of staff, one from the finance and one from the manufacturing department. None of the warehouse staff, other than the manager, will be involved in the count.

Each team will count an aisle of finished goods by counting up and then down each aisle. As this process is systematic, it is not felt that the team will need to flag areas once counted. Once the team has finished counting an aisle, they will hand in their sheets and be given a set for another aisle of the warehouse. In addition to the above, to assist with the inventory counting, there will be two teams of counters from the internal audit department and they will perform. inventory counts.

The count sheets are sequentially numbered, and the product codes and descriptions are printed on them but no quantities. If the counters identify any inventory which is not on their sheets, then they are to enter the item on a separate sheet, which is not numbered. Once all counting is complete, the sequence of the sheets is checked and any additional sheets are also handed in at this stage. All sheets are completed in ink.

Any damaged goods identified by the counters will be too heavy to move to a central location, hence they are to be left where they are but the counter is to make a note on the inventory sheets detailing the level of damage.

As Lily undertakes continuous production, there will continue to be movements of raw materials and finished goods in and out of the warehouse during the count. These will be kept to a minimum where possible.

The level of work-in-progress in the manufacturing plant is to be assessed by the warehouse manager. It is likely that this will be an immaterial balance. In addition, the raw materials quantities are to be approximated by measuring the height and width of the raw material piles. In the past this task has been undertaken by a specialist; however, the warehouse manager feels confident that he can perform. this task.

A new kind of radar has been developed for spaceship travelers. A working laboratory model
of a new system of radar that makes use of a beam of light is said to be ten thousand times more accurate than the best comparable system of radar that used microwaves.

The model has shown that this radar system, known as laser-doppler radar, can measure with absolute precision speeds varying from spaceship orbital injection (进入) velocities (速度) of five miles per second down to virtual stops--speeds of less than one ten thousandth of an inch per second. Part 2 4. Islamic terrorism may be a distant threat for Shearer Lumber Products, a timber
company based in Idaho. But eco-terrorism is a very real one. In November, the Earth Liberation Front (ELF), an underground organization, gave warning that it had“spiked”trees in the Nez Perce national forest to protest against logging. Spiking involves hiding metal bars in tree trunks, thereby potentially crippling chain saws and hurting people. More such attacks are expected. How do they fit into America’s war on terrorism?

The nation’s forests have seen a sharp increase in violent incidents—equipment vandalized, people intimidated—over the past ten years. Shearer now carefully inspects every tree before cutting and has been using metal detectors to check every trunk being processed. Yet Ihor Mereszczak, of the Nez Perce Forest Service, says it has been hard to get the FBI’s attention, and investigations have got nowhere.

The ELF is only one thread in a web of underground radical environmentalists. Its aim is to inflict as much financial pain as possible on organizations or people who, by its lights, are exploiting the environment. The ELF, though made up of anonymous cells, nonetheless operates a website offering tips on how to cause fires with electric timers. Until recently, it also had a public spokesman.

Together with the Animal Liberation Front (ALF), which operates along the same lines, the ELF is estimated to be responsible for over $45m-worth of damage in North America over the past few years. In 1998, it caused fires that did $12m-worth of damage in Vail, Colorado, to make the point that the ski resort’s expansion was threatening places where lynxes live. Earlier this year, the ELF burned down the offices of a lumber company in Oregon. Since September 11th, the ALF and ELF have claimed responsibility for starting a fire at a primate research center in New Mexico, releasing mink from an Iowa fur farm, and firebombing a federal corral for wild horses in California.

Are they terrorists? The two groups reject the label, claiming to take all precautions against harming “animals, whether humans or not”. But earlier this year Louis Freeh, the FBI’s boss, listed both organizations among the most active domestic terrorist groups. Scott McInnis, the Republican congressman whose district includes Vail, argues it is only a matter of time before somebody gets hurt, and he now expects the FBI to put in more resources.

The House subcommittee on forests, which Mr McInnis heads, will hold a hearing on eco-terrorism in February. But he has annoyed some mainstream green groups by asking them to denounce the ELF’s and ALF’s methods. Greenpeace, for instance, says that its disapproval is self-evident, and resents being asked to express it. Mr. McInnis still wants their answer by December 1st, but the war on eco-terrorism is off to a rocky start.
